NEXLIFY EL LTD provides technology composition services including but not limited to e-commerce platform development, digital marketplace solutions, subscription video on demand infrastructure, social commerce and shoppable media integration, omnichannel retail technology, direct-to-consumer software solutions, custom computer programming services, media streaming distribution services, and computer systems design.
The specific scope, deliverables, milestones, acceptance criteria, and timelines for each engagement are defined in the applicable Statement of Work. The Company shall perform services with reasonable skill and care consistent with industry standards for technology service providers operating in the United Kingdom.
The Company reserves the right to use subcontractors and third-party service providers in the delivery of services, provided that the Company remains responsible for the quality and timeliness of all deliverables and ensures that subcontractors are bound by appropriate confidentiality and data protection obligations.
Any changes to the scope of services must be documented in a written change request approved by both parties. Change requests may affect project timelines and fees as agreed between the parties.
The Client shall provide timely access to information, personnel, systems, and resources reasonably required for the Company to perform services. Delays caused by the Client's failure to provide required inputs may result in adjusted timelines and additional fees.
The Client shall designate a primary point of contact with authority to make decisions regarding the project, approve deliverables, and respond to enquiries within agreed timeframes.
The Client is responsible for ensuring that all content, data, and materials provided to the Company do not infringe third-party intellectual property rights and comply with applicable laws including data protection legislation.
The Client shall obtain and maintain all necessary licences, permissions, and consents required for the operation of platforms and systems developed by the Company, including payment processing licences, content distribution rights, and regulatory approvals applicable to the Client's industry.
Fees for services are as specified in the applicable Statement of Work or service agreement. Unless otherwise agreed, all fees are quoted in pounds sterling and are exclusive of value added tax, which shall be added at the prevailing rate.
Payment terms are net thirty days from the date of invoice unless otherwise specified. The Company reserves the right to charge interest on overdue amounts at the rate of eight percent per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
The Company may require advance payment or milestone-based payments for certain engagements. Failure to make timely payments may result in suspension of services until outstanding amounts are settled.
All fees are non-refundable except as expressly provided in these Terms and Conditions or the applicable Statement of Work. Deposits paid to commence work are non-refundable once the Company has begun performance.
Upon full payment of all fees due, the Client shall own the Intellectual Property Rights in bespoke Deliverables created specifically for the Client under the applicable Statement of Work, excluding any pre-existing materials, third-party components, frameworks, libraries, and tools incorporated into the Deliverables.
The Company retains all Intellectual Property Rights in its pre-existing materials, methodologies, composition frameworks, development tools, and general know-how used in the delivery of services. The Client receives a non-exclusive, perpetual licence to use such pre-existing materials solely as incorporated into the Deliverables.
Third-party software, open-source components, and licensed materials incorporated into Deliverables are subject to their respective licence terms, which the Client agrees to comply with.
The Company may display the Client's name and project description in its portfolio and marketing materials unless the Client objects in writing prior to project completion.
Each party agrees to keep confidential all Confidential Information received from the other party and to use such information solely for the purposes of performing obligations under the Agreement.
Confidential Information does not include information that is publicly available through no fault of the receiving party, was already known to the receiving party prior to disclosure, is independently developed without use of Confidential Information, or is required to be disclosed by law or court order.
The obligations of confidentiality survive termination of the Agreement for a period of five years, except for trade secrets which shall remain confidential for as long as they retain trade secret status.
Both parties shall comply with applicable data protection legislation including the UK GDPR and the Data Protection Act 2018. Where the Company processes personal data on behalf of the Client, the parties shall enter into a data processing agreement specifying the subject matter, duration, nature, and purpose of processing.
The Client warrants that it has all necessary lawful bases and consents to provide personal data to the Company for processing in connection with the services.
The Company's Privacy Policy, available at nexlifyel.technology/privacy-policy.html, describes how the Company handles personal data in its capacity as a data controller.
The Company warrants that services will be performed with reasonable skill and care and that Deliverables will materially conform to the specifications set out in the applicable Statement of Work for a period of ninety days following acceptance.
Except as expressly stated herein, all services and deliverables are provided without further warranty, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
The Company does not warrant uninterrupted or error-free operation of Deliverables, compatibility with all third-party systems, or achievement of specific business outcomes unless expressly guaranteed in writing.
Subject to the exclusions below, the total aggregate liability of NEXLIFY EL LTD arising out of or in connection with the Agreement, whether in contract, tort, negligence, or otherwise, shall not exceed the total fees paid by the Client under the applicable Statement of Work in the twelve months preceding the event giving rise to the claim.
Neither party shall be liable for indirect, incidental, special, consequential, or punitive damages including loss of profits, revenue, data, business opportunity, or goodwill, regardless of whether such damages were foreseeable.
Nothing in these Terms and Conditions excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of confidentiality obligations, or any other liability that cannot be excluded or limited under applicable law.
The Client shall indemnify and hold harmless the Company against all claims, damages, losses, and expenses arising from the Client's breach of these Terms and Conditions, infringement of third-party rights by Client-provided materials, or misuse of Deliverables.
The Company shall indemnify and hold harmless the Client against claims that Deliverables, when used in accordance with the Agreement, infringe third-party intellectual property rights, provided the Client promptly notifies the Company and allows the Company to control the defence.
The Agreement commences on the date the Statement of Work is signed by both parties and continues until all services are completed and accepted, unless terminated earlier in accordance with this section.
Either party may terminate the Agreement for material breach if the breaching party fails to remedy the breach within thirty days of written notice specifying the breach.
Either party may terminate the Agreement for convenience upon sixty days written notice, subject to payment for all services performed and expenses incurred up to the effective date of termination.
Upon termination, the Client shall pay for all work completed and committed costs. The Company shall deliver all completed Deliverables and work in progress upon receipt of payment for amounts due.
Neither party shall be liable for failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, war, terrorism, pandemic, government actions, power failures, internet outages, and labour disputes.
The affected party shall notify the other party promptly and use reasonable efforts to mitigate the impact. If force majeure continues for more than ninety days, either party may terminate the affected Statement of Work without liability.
The parties shall attempt to resolve any dispute arising from the Agreement through good faith negotiation between senior representatives of each party.
If negotiation fails within thirty days, the parties may agree to mediation administered by a recognised mediation service in London, England. The costs of mediation shall be shared equally unless otherwise agreed.
If mediation is unsuccessful or not pursued, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
The Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, and agreements relating to its subject matter.
No amendment to the Agreement is effective unless in writing and signed by authorised representatives of both parties.
The Client may not assign or transfer its rights or obligations under the Agreement without the Company's prior written consent. The Company may assign the Agreement to an affiliate or in connection with a merger or acquisition.
If any provision of the Agreement is found invalid or unenforceable, the remaining provisions continue in full force and effect.
Failure to enforce any provision does not constitute a waiver of the right to enforce it subsequently.
Notices under the Agreement shall be in writing and delivered to the addresses specified in the Statement of Work or to info@nexlifyel.technology for the Company.
These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, subject to mandatory consumer protection provisions that may confer jurisdiction on courts in the Client's country of residence.
